These Terms of Use (“Terms”, “Terms of Use”) govern your relationship with the website https://cripto.host/ (“Service”, “Platform”, or “We”), Operated by CR1PTO HOST INOVA SIMPLES (I.S.) - ME, a legal entity headquartered in the city of Gravataí, State of Rio Grande do Sul, Brazil, duly registered under CNPJ No. 58.638.376/0001-06, with active registration status. Cripto Host is a hosting and monitoring platform for blockchain nodes. By accessing or using the Service, or by clicking a button or checking a box marked “I Accept,” you indicate that you have read, understood, and agree to be bound by these Terms of Use and to the collection and use of your information as described in Cripto Host’s Privacy Policy. These Terms apply to all visitors, users, and others who register for, access, or use the Service (“You”, “User”, “Users”). Certain services may be subject to additional terms and conditions specified by Us, and the use of such services is subject to those additional terms and conditions. By accessing or using the Service, you agree to comply with these Terms and accept all legal consequences. Cripto Host is not a cryptocurrency exchange. We do not endorse or recommend any specific digital asset, transaction, or purchasing strategy. No content on the Cripto Host website, nor communications with the Cripto Host support team, constitute purchasing or investment advice. Independent advice should be sought whenever appropriate. You acknowledge and agree that all transaction decisions are made exclusively by you, and the Platform bears no responsibility for the outcome of your decisions. Read these Terms carefully to ensure you understand each provision before using the Service. If you do not agree with these terms of use, in whole or in part, do not use the Service. 2. Use of Service A. Member Conduct If you choose to register for the Service, you agree to provide and maintain true, accurate, current, and complete information about yourself as requested in the Service’s registration form. Registration data and certain other information about you are governed by our Privacy Policy. If you are under 18 years of age, you are not authorized to use the Service, with or without registration. Any use of or access to the Service by anyone under 18 is strictly prohibited and violates these Terms. You may use the Service only if you are in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations. The Service is not available to any User previously removed from the Service by Cripto Host. You agree to use the Services at all times exclusively for their intended purposes and not for any illegal or fraudulent activity. You agree to abide by the Service rules described below. B. Service Rules You agree not to use the Service to publish, upload, transmit, or otherwise make available any content that violates any intellectual property or proprietary rights of any party; that you do not have the legal right to upload under any applicable law or contractual or fiduciary relationship; that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, limit, or interfere with the functionality of any software, hardware, or telecommunications equipment; that poses or creates a privacy or security risk to any person; that constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities, sales, spam, junk mail, chain letters, pyramid schemes, contests, sweepstakes, or any other form of solicitation; that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, fraudulent, invasive of privacy, hateful, discriminatory, or otherwise objectionable; or that, at the sole discretion of Cripto Host, may restrict or inhibit any other person from using or enjoying the Service or may expose CR1PTO HOST INOVA SIMPLES (I.S.) - ME, Cripto Host, or its users to harm or liability of any kind. You further agree not to interfere with or disrupt the Service or any servers or networks connected to the Service, nor to violate any requirements, procedures, policies, or regulations of such networks; to violate any applicable local, state, national, or international law or regulation; to impersonate any person or entity, misrepresent your affiliation, conduct fraudulent activity, or attempt to conceal your identity; to solicit personal information from individuals under the age of 18; to collect email addresses or other contact information of users for the purpose of sending unsolicited communications; to advertise, offer to sell, or purchase goods or services for any unauthorized commercial purpose; to promote criminal activity or provide instructional information regarding illegal activities; to obtain or attempt to access materials or information not intentionally made available through the Service; to modify, disassemble, decompile, reverse engineer, copy, distribute, or otherwise exploit any part of the Service except as expressly authorized in writing; to rent, lease, loan, resell, sublicense, or transfer your account to any third party; to use automated systems such as robots, spiders, scrapers, or offline readers to access the Service in a manner that sends more request messages than a human could reasonably produce using a conventional web browser, unless expressly authorized in writing; or to bypass, disable, remove, circumvent, or otherwise interfere with security-related features or measures designed to prevent or restrict access to the Service. C. Cripto Host Service - The Service allows for the hosting and monitoring of software programs, termed “nodes” of blockchain projects, through the Cripto Host platform. To access the hosting or monitoring functionalities of the Service, you must register to create an account. You must create an account using your email. With the Cripto Host account, you will (i) select a blockchain project; (ii) provide your public wallet address; (iii) select a payment plan; (iv) provide information about your payment instruments, such as, among others, credit card or accepted cryptocurrencies; (v) represent and warrant to Cripto Host that such information is true and that you are authorized to use the payment instrument; (vi) immediately update your account information with any changes that may occur. Cripto Host may, at its discretion, modify or update the Service, in whole or in part, at any time. Subject to these Terms, you are granted a non-exclusive, limited, non-transferable, and freely revocable license to access and use the Service strictly for your personal use and as permitted by the features of the Service. You are prohibited from using Cripto Host for any illegal or fraudulent purposes or to complete transactions for any other parties. Cripto Host may terminate this license at any time, for any reason or for no reason. At our sole discretion, we reserve the right to modify, discontinue, replace, temporarily or permanently, the content of the Service or parts thereof, at any time, with or without prior notice. What constitutes a change in content will be determined at our sole discretion. You agree that Cripto Host shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service. By continuing to access or use the Service, you automatically agree to revisions and updates of these Terms as they come into effect; you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, stop using the site and the Service. You agree that Cripto Host has no responsibility for the deletion or failure to store any data or other content maintained or uploaded by the Service. You further acknowledge that the Platform reserves the right to change these general practices and limits at any time, in its sole discretion, with or without prior notice. D. Your Cripto Host Account Your Cripto Host account grants you access to the Service and to any additional functionalities that may be established, modified, or discontinued from time to time at the sole discretion of CR1PTO HOST INOVA SIMPLES (I.S.) - ME, the legal entity operating the Cripto Host platform. We may maintain different categories of accounts, subscription tiers, access levels, and permissions depending on the nature of the Service contracted and the profile of the user. If you open or operate an account on behalf of an organization, company, DAO, or other legal entity, the term “you” shall include both the individual acting and the represented entity. By doing so, you represent and warrant that you are duly authorized to bind such entity to these Terms and that the entity agrees to be fully responsible for compliance with them. You may not access, use, or attempt to use another user’s account without proper authorization. When creating your account, you agree to provide true, accurate, current, and complete information, and you undertake to maintain and promptly update such information as necessary to keep it accurate and complete at all times. Access to the Service, as well as limits, features, or eligibility criteria applicable to your account, may be modified based on information collected about you on an ongoing basis, including compliance assessments, security monitoring, or risk management procedures. You authorize Cripto Host to perform identity verification procedures, compliance reviews, fraud prevention checks, and other reasonable investigations, directly or through third-party service providers, that we deem necessary to verify your identity, prevent financial crimes, ensure regulatory compliance, or protect both you and CR1PTO HOST INOVA SIMPLES (I.S.) - ME. You acknowledge that, in connection with such procedures, your personal data may be disclosed to fraud prevention agencies, compliance partners, or financial crime authorities, and that such entities may respond to our inquiries. You are solely and fully responsible for all activities conducted through your account, whether authorized by you or not. You must maintain the confidentiality and security of your login credentials and registered email address. You must immediately notify Cripto Host at fale@cripto.host of any suspected unauthorized access, security breach, or misuse of your account. Cripto Host shall not be liable for any loss or damage resulting from unauthorized access to your account due to your failure to safeguard your credentials. By providing your email address, you consent to receive electronic communications from Cripto Host, including service-related notices, legally required disclosures, updates to these Terms, billing notices, security alerts, and operational communications. Electronic communications shall satisfy any legal requirement that such communications be in writing. 3. Privacy  By using the Service, you agree to the collection and use of personal data as described in our Privacy Policy, and to the collection, use, transfer, and processing of your personally identifiable information in Brazil. By accepting these Terms, you expressly allow us to export data outside the jurisdiction in which you reside or are located when you access Cripto Host. 4. Links to Other Sites  The Service may contain links to third-party websites (including users) or services that are not owned or controlled by the Platform. The Platform has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Platform shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. You acknowledge that Cripto Host does not pre-screen third-party content (including users), but that the Platform and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service or deemed objectionable and/or violates these Terms of Use. We strongly advise you to read the terms of use and privacy policies of any third-party websites or services that you visit. 5. Intellectual Property Rights  All components of the Service, including but not limited to software architecture, source code, interface design, layout, trademarks, service marks, logos, trade names, content, text, graphics, databases, audiovisual material, and documentation (collectively, the “Service Content”), are protected by intellectual property laws and are the exclusive property of Cripto Host or its licensors. Except as expressly permitted in writing, you may not copy, reproduce, modify, adapt, translate, publish, transmit, distribute, license, sublicense, reverse engineer, create derivative works from, or otherwise exploit any portion of the Service or Service Content, whether for commercial or non-commercial purposes. Unauthorized use of the Service Content constitutes a violation of applicable intellectual property laws. If you submit feedback, suggestions, ideas, or recommendations regarding the Service, you agree that such submissions are voluntary, non-confidential, and grant Cripto Host an unrestricted, perpetual, irrevocable, worldwide right to use, reproduce, modify, and incorporate such suggestions without compensation or attribution. 6. Copyrighted Material  You acknowledge and agree that Cripto Host, its successors, and its affiliated companies and partners are the sole owners of the copyrighted materials of the Service in perpetuity. For purposes of this document, all rights in the Service Content, including any copyrights and renewals or extensions thereof, as well as all title and interest that the user or any other person may claim or hold, worldwide, shall remain the sole and exclusive property of Cripto Host or its nominees, at its sole discretion, for the entire duration of the copyright. 7. Cripto Host Plans  Cripto Host offers different subscription plan models. The plans are divided into Basic and Expert, with different billing periodicities. When contracting the Basic Plan, in addition to a fixed payment according to the chosen period per contracted node, you pay a fee on the yields obtained with the node. When contracting the Expert Plan, you only make the fixed payment according to the chosen period per contracted node, without participation in the yields obtained. Both plans allow access to and monitoring of the contracted nodes via the Cripto Host platform, with the entire infrastructure management service being the responsibility of Cripto Host itself. Not all projects available on the Platform have both plans available; each service offered may have its peculiarities. Within the Basic and Expert plans, you may find different billing periodicity options, including, but not limited to, nor fixed to: monthly, quarterly, semi-annual, and annual. Once a plan is contracted, its renewal is carried out automatically. Plan prices are subject to change at any time and without prior notice. In the event of a price adjustment for a contracted plan, the new plan value becomes effective upon its renewal. 8. User Fees A. Payment Structure If you have subscribed to our Expert Plan, your subscription (fixed amount) will be billed periodically, at each cycle closing according to the chosen plan frequency, starting from the date of plan acquisition. If you have subscribed to the Basic Plan, in addition to the subscription (fixed amount) billed periodically, at each cycle closing according to the chosen plan frequency, you agree to pay a fee to Cripto Host on your yields obtained with the node. The yield fee is billed monthly, regardless of the plan frequency chosen for your subscription. Cripto Host reserves the right to change the billing frequency of the yield fee if it so desires, with or without prior notice. B. Yield Fee - The yield fee for each node contracted in the Basic Plan is 15% (fifteen percent). The calculation of the amount charged on yields is done as follows: we determine your yields in the billing cycle period, in Brazilian Reais (BRL), and then we apply the stipulated fee on these yields. C. Yield Calculation - To calculate the value on your yields, Cripto Host reserves the right to access the data of your public wallet address responsible for receiving the node’s yield amounts. D. Automatic Payments with Credit Card - By contracting your plan on Cripto Host via credit card, you authorize Cripto Host to debit your credit card for all amounts related to the contracted plan, respecting the periodicity of each charge. The amounts subject to billing related to the contracted plan include: (i) subscription amounts for the contracted plan, (ii) amounts referring to the yield fee, (iii) amounts corrected according to penalties provided for in this Term, for default, (iv) amounts referring to the automatic renewal of the contracted plan, and (v) any other amounts pertinent to the relationship of this service provision that may not be provided for in this Term. When contracting your plan on Cripto Host via credit card, renewal is automatic; thus, charges are debited from your credit card on the date the subscription expires. It is your sole responsibility to ensure that the billing of amounts related to your plan can be successfully debited from your card, as well as, in case of the need to update credit card data, to do so immediately with Cripto Host. In case of payment failure, Cripto Host suspends the provision of services immediately. In these cases, to continue the services provided, you must contact Cripto Host through the available channels and follow the guidelines provided. E. Payments with Cryptocurrencies - For plans and payment conditions that allow this condition, you have the possibility to pay for the subscription with the available cryptocurrencies. In this case, the renewal of your plan is not automatic, and it is your sole responsibility to make the payment on the date your plan subscription expires. In case of non-payment, Cripto Host suspends the provision of services immediately. In these cases, to continue the services provided, you must contact Cripto Host through the available channels and follow the guidelines provided. By accepting these Terms, you agree to pay Cripto Host the value of the selected payment plan, as well as all fees specified herein referring to it, under the terms of such plan and these Terms of Use. 9. Cancellation and Refund  Due to the digital nature of our Services, we do not offer refunds on our payment plans for current or past periods; that is, all amounts paid to Cripto Host will be non-refundable to you should you decide to cancel the service for any reason. If you wish to cancel your Service with Cripto Host, you may do so at any time, provided that all amounts due to Cripto Host under your current contract are paid in full. Should there be a desire to restart the Service again, a new contract will be necessary. When cancelling a service that is already paid for and was contracted through a quarterly or longer-term plan (e.g., semi-annual or annual) before its expiration date, the paid amount proportional to the period from the cancellation date to the plan’s validity will be calculated by Cripto Host and granted to you as credit on the platform. You may use your credits to contract other services made available by Cripto Host, provided that the new service to be contracted accepts this payment method. The possibility of receiving credits on the platform as a refund, under the terms explained above, is not valid for contracting plans with monthly periodicity nor for contracting the Bitcoin Mining Shares service. Regarding the Bitcoin Mining Shares service, the amount paid does not convert into credit on the platform, and there is no refund in any form. 10. Penalties  Failure to pay for Cripto Host Services on time will result in the interruption of the Service and/or termination of the Services and/or the charging of penalties, with Cripto Host being authorized to add to the amount due default interest of 1% (one percent) per month and monetary correction by the IGP-M/FGV index, or any other equivalent that may replace it. 11. Suspension and Termination  You agree that Cripto Host, at its sole discretion and without liability to you or third parties, may suspend or terminate your use of the Service (or any part thereof) and remove and discard any content of the Service, for any reason, including, without limitation, for lack of use or if the Platform believes that you have violated or acted inconsistently with these Terms of Use. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of the Service may be referred to appropriate law enforcement authorities. The Platform may: (a) suspend, restrict, or terminate your access to any or all Services, and/or (b) deactivate or cancel your account if: (i) we are so required by a valid subpoena, court order, or binding order of a government authority; (iii) the use of your account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your account activity; (iv) our service partners are unable to support your use; (v) suspend or terminate your account or access to the Service without cause. Upon termination for any reason or no reason, you remain bound by these Terms. Cripto Host may, without prior notice, suspend, change, limit, or stop providing the Service or features of the Service, to you or to users in general. If Cripto Host suspends or terminates your account, or terminates your use of the Service, in whole or in part, for any reason, we will use commercially reasonable efforts to notify you of our actions, 30 days in advance, unless a court order or other legal process prohibits us from providing such notice to you. You acknowledge that Cripto Host’s decision to take certain actions, including limiting access, suspending, or terminating your account, may be based on confidential criteria that are essential to the Platform’s risk management and security protocols. You agree that Cripto Host is under no obligation to disclose the details of its risk management and security procedures to you. 12. Disputes Between Users  You agree that you are solely responsible for your interactions with any other user in connection with the Service and the Platform will have no obligation or liability with respect thereto. Cripto Host reserves the right, but has no obligation, to become involved in any way in disputes between you and any other user of the Service. 13. Indemnification and Release  To the maximum extent permitted by law, you agree to release, indemnify, and hold harmless the Platform and its affiliates and their officers, employees, directors, and agents from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of the Service, your connection to the Service, your violation of these Terms of Use, or your violation of any rights of another, Your Content, or any content submitted via your account, including, without limitation, misleading, false, or inaccurate information, your willful misconduct, or the access and use of the Service by any other party with your unique username, password, or other appropriate security code. 14. Disclaimer of Warranties  YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PLATFORM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE PLATFORM MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS. 15. Limitation of Liability  YOU AGREE THAT CRIPTO HOST IS NOT RESPONSIBLE FOR ANY DATA COMPILED BY OUR SERVICES AND THAT THE PLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF CRIPTO HOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT SHALL CRIPTO HOST’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO CRIPTO HOST. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE. YOU AND CRIPTO HOST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU UNDERSTAND AND AGREE THAT THE ABOVE DISPUTE PROCEDURES SHALL BE YOUR SOLE REMEDY IN THE EVENT OF DISPUTE BETWEEN YOU AND CRIPTO HOST REGARDING ANY ASPECT OF THE SERVICE (INCLUDING THE ENROLLMENT PROCESS) AND THAT YOU ARE WAIVING YOUR RIGHT TO LEAD OR PARTICIPATE IN A LAWSUIT INVOLVING OTHER PERSONS, SUCH AS A CLASS ACTION. 16. Governing Law  These Terms shall be governed by applicable Brazilian laws. The competent courts in the Judicial District of Porto Alegre/RS shall have exclusive jurisdiction to enforce and interpret them. Furthermore, you are solely responsible for all code, video, images, information, data, text, software, music, sound, graphics, messages, or other content that you upload, post, display, or email or otherwise use via the Service. Cripto Host reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates the provisions mentioned above. In accordance with applicable laws, we will terminate the Service at our sole discretion for users who are deemed to be repeat copyright infringers. Cripto Host may also, at its sole discretion, limit access to the Service and/or terminate the membership of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement. Upon termination, your right to use the Service will cease immediately. 17. General A. Entire Agreement   These Terms of Use constitute the entire agreement between you and Cripto Host and govern your use of the Service, superseding any prior agreements between you and Cripto Host with respect to the Service. You may also be subject to additional terms of use that may apply when you use affiliate or third-party services, third-party content, or third-party software. These Terms of Use shall be governed by Brazilian laws, without regard to conflicts of law provisions. With respect to any disputes or claims not subject to arbitration, as set forth above, you and Cripto Host agree to submit to the jurisdiction of the Court of the Judicial District of Porto Alegre/RS. The failure of Cripto Host to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Use remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You may not assign these Terms of Use without the prior written consent of Cripto Host, but Cripto Host may assign or transfer these Terms of Use, in whole or in part, without restriction. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect. Notices to you may be made via email or regular mail. Under no circumstances shall Cripto Host be held liable for any delay or failure in performance resulting directly or indirectly from an event beyond its reasonable control. B. Notifications - Cripto Host may provide notifications, whether such notifications are required by law or for marketing or other business purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by Cripto Host in our sole discretion.
